Terms of Service
1. Introduction and Definitions
These Terms of Service ("Terms") govern the use of the RemoAcc remote desktop access service ("Service") provided by Schindler Systems, s.r.o., Company ID 27902510, VAT ID CZ27902510, registered office V Edenu 380, Škvorec, 250 83, Czech Republic, email: info@remoacc.com ("Provider", "we", "us").
By installing the RemoAcc desktop client, registering an account in the Admin Panel, or otherwise accessing the Service, you ("User", "Customer") agree to be bound by these Terms.
Definitions:
- Service — the RemoAcc remote desktop access platform, comprising the desktop client software for Windows and macOS, the signaling and relay infrastructure, and the web-based Admin Panel available at admin.remoacc.com.
- Client Software — the RemoAcc desktop application installed on a User's device.
- Admin Panel — the web-based management interface at admin.remoacc.com.
- Device — a computer on which the Client Software is installed and which is assigned a unique numeric Device ID.
- Session — a remote desktop connection established between two Devices via the Service.
- Free Tier — the no-cost subscription plan subject to usage limitations specified on the pricing page.
- Pro Plan — the paid subscription at €9.90 per month per seat.
- Enterprise Plan — a custom subscription negotiated individually with the Provider.
2. Service Description
RemoAcc is a B2B remote desktop access service that enables Users to remotely view and control Devices over the internet. The Service uses encrypted connections and modern technologies for screen transmission. The Provider does not record, store, or have access to the content of remote desktop Sessions.
The Service is offered under a freemium model. The features available under each subscription plan are described on the pricing page at www.remoacc.com/pricing, which forms part of these Terms by reference. The Provider reserves the right to modify plan features with reasonable prior notice.
3. Registration and User Accounts
Client Software (Auto-Registration): Upon first launch, the Client Software automatically registers the Device with the Service without requiring manual account creation. A unique nine-digit Device ID and cryptographic credentials are generated and stored on the Device. The User is responsible for safeguarding the session password associated with each Device.
Admin Panel Accounts: Use of the Admin Panel requires creation of a user account with a valid email address and a password meeting the minimum complexity requirements (at least eight characters, mixed case, and at least one digit). Account registration may be subject to email verification and, for new organisations, approval by the Provider.
The User is responsible for all activity conducted under their account and must notify the Provider immediately at info@remoacc.com if they suspect unauthorised access. The Provider is not liable for losses resulting from the User's failure to maintain account security.
4. Pricing and Payment
Free Tier: Available at no charge, subject to the usage limitations stated on the pricing page. No payment details are required.
Pro Plan: €9.90 per month per seat, billed monthly in advance. Prices are stated exclusive of VAT. Applicable VAT will be added in accordance with Czech law and EU VAT rules.
Enterprise Plan: Pricing and terms are agreed individually in a separate written order or contract.
Subscription fees are prepaid and non-refundable except as required by applicable law. Failure to pay on the due date may result in downgrade to the Free Tier or suspension of the account after a grace period of ten (10) days following a payment reminder.
The Provider reserves the right to change subscription prices with at least thirty (30) days' prior written notice.
Payment Gateway: Online payments are processed through the payment gateway operated by Comgate, a.s. More information about the payment gateway is available at www.comgate.eu/cs/platebni-brana.
Payment Methods: The Service can be paid for using:
- Payment card (Visa, Mastercard) — the Customer enters card details on Comgate's secure payment page. Once authorised, the payment is charged immediately and the paid Service is made available to the Customer without delay. - Bank payment button (online bank transfer) — the Customer is redirected to their bank's online banking, where they confirm a pre-filled payment order. Once the bank confirms the transfer, the payment is recorded. Details of the bank payment process: help.comgate.cz/docs/bankovni-prevody.

5. User Rights and Obligations
Permitted Use: The User is granted a non-exclusive, non-transferable right to access and use the Service for lawful business purposes in accordance with these Terms.
Prohibited Conduct: The User must not:
- use the Service to gain unauthorised access to any Device, computer system, or network;
- use the Service to transmit, distribute, or store material that infringes intellectual property rights, is defamatory, obscene, or otherwise unlawful;
- use the Service to transmit malware, ransomware, spyware, or any other malicious code;
- resell, sublicense, or provide third-party access to the Service without the Provider's prior written consent;
- attempt to reverse-engineer, decompile, or disassemble any component of the Service beyond what is permitted by mandatory applicable law;
- circumvent or attempt to circumvent any security or access-control mechanism of the Service;
- use the Service in a manner that imposes an unreasonable load on the Provider's infrastructure;
- access or attempt to access another User's account, Device, or data without authorisation.
6. Provider Rights and Obligations
Service Availability: The Provider endeavours to maintain continuous availability. For paid plans, the Provider targets 99.5% monthly uptime excluding scheduled maintenance windows. No uptime guarantee is provided for the Free Tier.
Modifications: The Provider reserves the right to modify, update, or discontinue features of the Service. For material changes affecting paid subscribers, the Provider will provide at least thirty (30) days' prior notice.
Security: The Provider implements reasonable technical and organisational security measures, including transport encryption, end-to-end session encryption, and secure password hashing.
7. Limitation of Liability
Free Tier: The Service is provided "as is" and "as available" without any warranties, express or implied. The Provider's aggregate liability to Free Tier users is limited to €100.
Paid Plans: To the maximum extent permitted by applicable law, the Provider's aggregate liability to paid subscribers in any twelve-month period is limited to the total fees paid by the Customer in that period.
In no event shall the Provider be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.
8. Refunds and Complaints
Complaint contact: Send complaints to info@remoacc.com with the subject line "Complaint" and include the transaction ID or invoice number, payment date, and a brief description of the issue (screenshots if available).
Processing deadline: We will process each complaint within thirty (30) calendar days of receipt and inform you of the outcome by e-mail.
Cases in which we issue a refund:
- erroneous or duplicate charge;
- demonstrable outage of the paid Service exceeding 24 consecutive hours within a calendar month — we refund a pro-rated share of the monthly fee;
- material non-conformance of the Service with the features advertised at www.remoacc.com/features that has not been remedied within 14 days of notification;
- unauthorised charge after the Customer cancelled the subscription.
Cases in which we do not issue a refund:
- unused remainder of a prepaid billing period (the Customer may continue using the Service until the end of the prepaid period);
- reasons on the Customer's side (incorrect configuration, incompatible hardware, antivirus or firewall blocking the Service, Customer's internet connection outage);
- Enterprise plan — individually negotiated contract terms apply.
Method of refund: Approved refunds are returned via the original payment method (credit card or bank account) within 14 days of approval. Bank fees related to the refund are borne by the Provider.
Out-of-court dispute resolution: RemoAcc is a B2B service. Consumer dispute resolution rules (Czech Act No. 634/1992 on Consumer Protection; EU Regulation 524/2013 on online dispute resolution) do not apply to the relationships arising under these Terms. Disputes between entrepreneurs are resolved in accordance with the General Provisions section below.
9. Data Protection
The processing of personal data is described in the Privacy Policy, which forms an integral part of these Terms.
10. Term and Termination
The User may terminate their subscription at any time via the Admin Panel or by contacting info@remoacc.com. Termination takes effect at the end of the current billing period. Prepaid fees are not refunded.
The Provider may suspend or terminate the User's access immediately if the User: (a) materially breaches these Terms; (b) uses the Service for illegal purposes; (c) fails to pay subscription fees after the grace period.
11. General Provisions
Governing Law: These Terms are governed by the laws of the Czech Republic. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of the Czech Republic.
Amendments: The Provider may amend these Terms at any time. Amendments will be published at www.remoacc.com/terms and notified to registered users at least fifteen (15) days before taking effect.
Severability: If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
