End User License Agreement

This End User License Agreement ("Agreement") is between you ("Licensee") and Schindler Systems, s.r.o., Company ID 27902510, V Edenu 380, Škvorec, 250 83, Czech Republic ("Licensor").

By downloading, installing, or using the RemoAcc desktop client software ("Software"), you agree to be bound by this Agreement. If you do not accept these terms, do not install or use the Software.

1. License Grant

Subject to your compliance with this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the Software on Devices that you own or control, solely for your internal business purposes in connection with the RemoAcc Service.

This licence does not constitute a sale. The Licensor retains all rights not expressly granted.

2. Restrictions

You must not:

copy, reproduce, or distribute the Software except as expressly permitted;
reverse-engineer, decompile, disassemble, or derive source code, except as permitted by mandatory law;
modify, translate, or create derivative works based on the Software;
rent, lease, sell, sublicense, or transfer the Software;
remove or alter any proprietary notices;
use the Software for any unlawful purpose, including unauthorised access to third-party systems or distribution of malware;
use the Software in violation of the Terms of Service.

3. Intellectual Property

The Software and all intellectual property rights therein are the exclusive property of the Licensor. "RemoAcc" and associated logos are trademarks of Schindler Systems, s.r.o. The Software may incorporate third-party open-source components licensed under their respective licences.

4. Automatic Updates

The Software may automatically check for and download updates. Before executing any update installer, the Software verifies its Authenticode digital signature. If the signature is invalid, the installer is deleted and the update is aborted. Updates may be required to continue using the Service.

5. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. The Licensor's total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim, or €100 if no fees have been paid.

7. Termination

This Agreement terminates automatically if you breach any term. Upon termination, all licences cease and you must uninstall and destroy all copies of the Software.

8. Governing Law

This Agreement is governed by the laws of the Czech Republic. Disputes shall be subject to the exclusive jurisdiction of the competent courts of the Czech Republic.
